Paul is a partner in the business law department and practices in the areas of corporate, limited liability company and partnership law, mergers and acquisitions and investment funds. He represents a broad range of clients from privately held middle market companies to large publicly traded companies in a number of different industries, including banking, real estate, manufacturing, sales, distribution, technology and investment management.

Serves as primary outside corporate counsel to a number of privately held companies in various industries, including distribution, real estate, technology and investment management.
Represents clients on both the buy-side and the sell-side in mergers and acquisitions.
Represents clients in the formation, fundraising and operation of private investment funds, including LBO funds, hedge funds, employee co-invest funds and real estate finance investment funds.
Represents clients in structuring, negotiating and documenting equity incentive arrangements for managers and employees.
Counsels clients in structuring, negotiating and documenting economic and governance arrangements among business principals in connection with various transactions including business formations and joint ventures.
Advises clients on corporate governance, disputes among business principals and ownership succession.
