Peter Metzger is a partner in Cullen and Dykman�s Corporate/Energy Department. His practice emphasizes three primary areas that frequently overlap -- corporate transactional work, state and local tax issues, and state energy regulatory matters, involving all types of business entities. His corporate practice includes mergers and acquisitions; matters pertaining to corporate structure, organization and reorganization; financing matters; and general contracting work affecting businesses generally. He also provides advice on a wide range of state and local tax matters, has assisted and represented clients in the management of state and local tax audits, and has appeared before various state and local tax agencies in connection with tax challenges. His work in the state energy regulatory area includes the representation of local distribution companies, interstate pipelines, power companies, energy service companies, as well as large end-users affected by energy-related issues, before the New York Public Service Commission in a variety of matters, including Article VII proceedings, gas industry restructuring, utility diversification, gas transportation issues, rulemakings, tariff developments and modifications, general marketing matters, and unfair trade practice and anti-trust issues. |
