Mr. Reynolds focuses his practice on counseling individual and corporate clients on compliance with the Securities Exchange Act of 1934 and the Securities Act of 1933. He also advises manufacturing, distribution and technology enterprises on mergers and acquisitions, divestment of business operations, secured transactions and corporate restructurings. He has significant experience with merger agreements, share purchase agreements, asset purchase agreements, reorganization and restructuring plans, exchange offers, consent solicitations, subscription agreements, disclosure schedules and corporate by-laws.
Additionally, Mr. Reynolds negotiates executive compensation terms for the post-merger or post-acquisition employment of corporate officers, including provisions on severance benefits, stock options, stock transfer restrictions, "for cause" termination, separation pay arrangements, covenants not to compete, confidentiality agreements and deferred compensation.
