Peter Darrow is a highly experienced finance and securities attorney who focuses on capital markets financing, bank financing (including acquisition financing), structured financing, and private equity. He advises US and international clients in the following areas:
Securities: represents issuers, underwriters and placement agents in cross-border securities offerings, including high-yield bonds, medium-term notes and private placements, and registered offerings and Rule 144A offerings by foreign companies of equity securities (including American Depositary Receipts). Advises foreign companies concerning their compliance and reporting obligations under the US federal securities laws.
Financing: represents institutional lenders and borrowers in syndicated bank financings, including leveraged acquisition financings and structured financings.
Private Equity: Advises hedge funds and corporate clients with regard to private equity investments and joint ventures.
Prior to joining Mayer Brown in 1985, Peter was associated with Shearman & Sterling llp and Patterson Belknap Webb & Tyler LLP. He serves as Chairman of The Cambodia Trust, a position he has held since 2005. The Trust is the leading provider of medical relief and rehabilitation support for landmine victims in Cambodia and is a pro bono client of Mayer Brown.
