Mr. Tierney is a partner at Carrington Coleman. He joined the Firm upon his graduation from law school in 1970. Mr. Tierney spends a significant portion of his practice in corporate governance matters, including advising shareholders, boards of directors, special committees, individual board members, and senior management on issues of corporate governance, fiduciary responsibilities and Sarbanes-Oxley matters. He has represented special committees in conducting investigations, evaluating conflicts of interest, mergers, acquisitions, and advising on other corporate strategic alternatives. His corporate governance practice also involves advice on director and officer liability insurance, indemnification protection, and employment agreements for senior management. Necessarily, this practice also includes adversarial situations. Mr. Tierney has counseled plaintiffs and defendants in cases alleging breach of fiduciary duty, often arising in the context of a failing or failed company. Mr. Tierney also has a broad general corporate and business experience in the acquisition and sale of businesses. Mr. Tierney also has expertise in the context of corporate financial reorganizations, both in and out of Chapter 11. His representative clients in this area have included bank groups, bank holding companies, individual financial institutions, indenture trustees, creditors committees, and parties acquiring assets of debtor companies in bankruptcy. Mr. Tierney was admitted to practice in Texas in 1970 and has been admitted to practice in the U. S. District Courts for the Northern and Western Districts of Texas and the U. S. Court of Appeals for the Fifth Circuit. |
