Philip S. Garon has practiced with the corporate finance group at the Minneapolis law firm of Faegre & Benson LLP since 1974 and has been a partner at the firm since 1980. He focuses his practice on general corporate matters public and private mergers and acquisitions private financing and hostile takeover defense. Garon is also former chairman of the firm's management committee.
Garon acted as counsel in the acquisition of Wilsons Leather from CVS and in the refinancing by the Company. He currently acts as secretary at meetings of the Board of Directors and shareholders of Wilsons Leather and advises the Company with respect to a variety of corporate matters.
Garon also acts as counsel for Target Corporation Tennant Company and Hutchinson Technology Inc. He was lead counsel to Target in its sales of Marshall Field�s and Mervyn�s and to International Multifoods in its sale to J. M. Smucker Company.
Garon has testified before the Senate Judiciary Committee to secure the passage of corporate legislation on behalf of clients the Minnesota Wellspring Committee and the Business Law Section of the Minnesota Bar Association. In addition he is the co-author of The Treatise Minnesota Corporation Law and Practice and former chair of the Business Law Section of the Minnesota Bar Association is currently Vice Chairman of the Board of Visitors of the University of Minnesota Law School and is a member of its law review alumni advisory board.
Prior to joining Faegre & Benson Garon practiced with the law firm of Covington & Burling in Washington D.C. from 1972 to 1974.
