Robert C. Juelke is the vice chair of the firm's Corporate and Securities Practice Group. Bob focuses his practice on acquisitions and divestitures, securities offerings and the general representation of public reporting companies and private growth companies.
Acquisitions and Divestitures. Bob has represented purchasers and sellers in a broad range of transactions involving both public and private companies in a variety of industries. Recently, he represented an offshore insurance company in a merger that resulted in the company being publicly traded in the United States with a market capitalization in excess of $1.0 billion. Bob has also represented:
the seller of an excess and surplus lines insurance company in a transaction valued at more than $200 million,
a publicly traded specialty apparel retailer in its $335 million acquisition of another retail company,
a private equity fund in its $90 million acquisition of a publicly traded bank holding company,
a private equity fund in its $80 million acquisition of a publicly traded bicycle manufacturing company,
a publicly traded cable television company in a series of cable system acquisitions, and
a publicly traded consumer products company in a series of product line dispositions.
Securities Transactions. Bob has counseled issuers in public offerings and has served as counsel to issuers and investors in private placements and venture capital transactions. Recently, he represented a freight forwarding company owned by a private equity fund in a proposed initial public offering. Bob has also represented:
an offshore reinsurance company in its $300 million initial public offering,
a lifestyle merchandising company in a $55 million public offering,
a solid waste management company in a $90 million public offering, and
a specialty apparel retailer in a $130 million Rule 144A offering.
Bob has also represented venture capital funds, strategic venture capital investors and startup companies in venture capital transactions ranging from $3 million to $30 million.
General Corporate Representation. A substantial part of Bob�s practice involves acting as a legal adviser to a number of middle market companies, both public and privately held. Bob represents public companies in connection with their SEC reporting obligations, Sarbanes-Oxley compliance and general corporate governance matters. He also represents clients in the negotiation and documentation of corporate transactions, equity and debt financings, licensing agreements and employment and compensation arrangements.
Investment Management. Bob has also represented registered investment companies and has experience in the reorganization of investment companies and the merger and acquisition of investment advisers.
In General. Bob graduated with distinction from the University of Virginia where he studied finance and marketing. He earned his law degree with honors from the College of William and Mary where he was an executive editor of the William and Mary Law Review. Bob is admitted to practice law in Pennsylvania and New Jersey. |
