Rob's general business practice focuses on corporate, business planning and transactional matters. He also has extensive experience in real estate and financing transactions. His clients include individuals, family-owned and other closely-held businesses, financial institutions, and multinational corporations. Rob's areas of practice include:
Business Planning and Counseling: planning for and initial formation of corporations, partnerships and limited liability companies; restructuring existing entities and ownership interests; negotiation of employee and independent contractor agreements; preparation of standardized business contract forms
Sales of Businesses: structuring, documenting and performing due diligence for asset and stock sale transactions
Real Estate: purchase and sales; tax-deferred exchanges; leasing of office, industrial and retail properties; representing buyers, sellers, brokers, landlords and tenants
Construction Contracting: negotiation and drafting of design, engineering and construction contracts, using modified industry forms and customized agreements on behalf of owner, architect and contractor clients
Financing Transactions: start-up and subsequent round venture capital financing; real and personal property secured lending transactions; representing issuers, investors, and borrowers, as well as private and institutional lenders
Contract Administration and Analysis: establishing and implementing operational compliance procedures, evaluation and resolution of contract claims and disputes
Rob graduated from the University of San Francisco School of Law magna cum laude in 1985. His undergraduate work was at the University of California, Santa Cruz (Bachelor of Arts, with honors, 1981). |
