Robert Toner. Mr. Toner has entered into an agreement to serve as Innotrac�s Vice President Logistics until January 1, 2005, or in such other executive capacity as the Board may from time to time determine. Mr. Toner is entitled to a salary of no less than $250,000 per year and is eligible for annual increases and a performance-based bonus. The other provisions of Mr. Toner�s employment agreement are similar to those described above with respect to Mr. Dorfman�s employment agreement. Innotrac is currently in the process of negotiating the terms of Mr. Toner�s employment agreement.
