My goal is to be a valued member of my client�s team, helping the team realize company goals by finding practical solutions to legal problems and avoiding legal pitfalls. I also strive to be available 24 hours a day, seven days a week, knowing that kind of service is essential for client success in the business world.
Rob focuses on a variety of corporate and business law areas with the intent of serving as a well-rounded outside general counsel for his clients throughout the intermountain area. He handles mergers, acquisitions, and reorganizations of all types (buying, selling, combining, and restructuring businesses), assisting companies in transactions involving values from $100,000 to over $500 million. Rob helps companies of all sizes (including start-up and public companies) raise capital from private sources (private placements with angel, venture capital, strategic, and institutional investors). In the process, he partners with companies to deal with the complex maze of federal and state securities laws, including SEC periodic reporting and Sarbanes-Oxley Act compliance. Rob also advises entrepreneurs on all aspects of establishing a new company (corporations, limited liability companies, limited partnership, etc.), and helps established companies address ongoing legal and operational matters, such as technology licensing, distribution, buy/sell and other contractual arrangements.
Rob participates in many Utah organizations that foster the growth of Utah businesses and its investment community, including the Mountain West Capital Network and the Utah State Bar Securities Section. He was listed in "Utah Business Magazine's 2008 Legal Elite" for corporate law, the "2007 Chambers USA" for his work in corporate law/mergers and acquisitions and as a 2007 "Super Lawyer" for business law. He graduated as a Leary Scholar from the University of Utah School of Law, where he served on the Utah Law Review. Prior to that he earned a Bachelor of Arts with High Honors from the University of California at Santa Barbara. Rob was born in Hollywood, California, but relocated to Utah to enjoy the benefits of its world-class skiing. |
