Ron has more than 30 years' experience serving as general counsel to entrepreneurs and mid-cap companies.Ron concentrates his practice in commercial and international business transactions, assisting his clients in developing business strategies to leverage their core competencies.Typically, this involves developing and negotiating contractual relationships to enhance growth and profitability. These transactions, both domestic and international, include joint ventures and other strategic alliances, product marketing and distribution, raw material supply, private label manufacturing, OEM manufacturing, product research and development, technology licensing, business acquisitions and international expansion (including establishing foreign distributors and manufacturing operations or acquiring foreign product lines). His experience covers a wide variety of industries, with particular emphasis upon manufacturing, distribution, medical and other high-technology companies and agri-business.He has represented clients in negotiating exclusive development and distribution contracts for their products in situations where our clients have received significant equity investments or other large payments in exchange for granting exclusive distribution rights, or license rights in defined fields of use.Ron also frequently represents senior executives in negotiating employment or severance agreements and represents shareholders of closely-held companies in negotiating buy-sell agreements. |
