Ryan Vandewiele focuses a significant part of his practice on providing legal counsel to entrepreneurs and privately held businesses in the following areas: start-up planning and business formation matters; ownership succession; shareholder and investor relations; operational issues; strategic growth; corporate governance; corporate restructuring and business reorganization; sale, spin-off, roll-up, and acquisition planning; private capital and debt financing; licensing transactions, franchise and distribution transactions, and joint ventures.
Ryan also has extensive experience representing buyers and sellers in merger and acquisition transactions in the manufacturing, distribution, medical device, accounting, dental practice, and service industries. He has experience in directly negotiated and financial/strategic buyer-focused auction transactions.
Ryan�s representative experiences in merger and acquisition transactions include a private equity fund�s acquisition of a service business located in the Midwest (equity/debt financing and acquisition transactions); a private firm�s acquisition of assisted living facilities; an energy firm�s sale of a recycling and waste processing business to a local private equity fund; an accounting/financial advisor firm�s acquisition of accounting, financial and tax consulting practices; a local medical device firm�s sale of its business to a national strategic buyer; an auto part wholesale distributor and retail firm�s sale of its business to a national strategic buyer; and a window and door manufacturer�s acquisition of intellectual property rights of a newly developed product.
Ryan is also a member of the firm�s Sports and Entertainment practice group, where he provides legal counsel to local professional sports franchises in connection with general operational issues, suite licenses, and sponsorship and promotion matters.
He has been named a "Rising Star" by his peers, as noted by Minnesota Law & Politics in both 2007 and 2008.
