Sam is a Fellow of the Louisiana Bar Association and a Master in the American Inns of Court of Acadiana.His practice is concentrated in the areas of oil and gas litigation, general commercial litigation, oil and gas titles, oil and gas acquisitions and divestitures, and general business acquisitions and divestitures. Sam has tried oil and gas cases and general business cases in state courts and federal courts throughout Louisiana and has participated in several actions in Texas, Oklahoma, and Arkansas. He has litigated several oil and gas and general business contract disputes involving oil and gas leases, overriding royalty interest agreements, joint operating agreements, and distribution agreements, take-or-pay agreements, and partnership agreements. Sam has successfully defended several oilfield environmental claims and several toxic tort claims related to ambient air quality and has prosecuted a major oil and gas fraud case involving theft of corporate assets and breach of fiduciary duty by corporate officers. Sam has litigated several products liability cases involving propane explosions. In addition, Sam has tried intellectual property and securities cases. Sam has managed asset-based and stock-based acquisitions and divestitures for exploration companies, chemical companies, oil field service companies, a nursing home and several minor league sports franchises, and he regularly negotiates and drafts the complex purchase and sale agreements for those transactions. Sam regularly provides advice on corporate matters to those clients. Sam is a member of the Louisiana State, Lafayette Parish, and American Bar Associations (Litigation, Business Law, Environment, Energy, and Resources Sections), and the Lafayette and American Associations of Professional Landmen. |
