Sandip Soli, an associate, joined the firm in 2002. His practice focuses on real estate, business and commercial litigation.
Mr. Soli's real estate practice includes retail, office and industrial leasing for commercial landlords and tenants, purchase and sale agreements and real estate financing documentation. He has revised construction loan documentation to build multi-family housing, formed limited liability companies (LLCs) to document capital contributions, and drafted financing documents for private loans to individuals for real estate development purposes.
His business and corporate practice involves incorporation of profit and non-profit entities, capital formation in LLC and shareholder agreements and resolution of shareholder and partnership disputes. Mr. Soli has worked on asset purchase, stock purchase and joint venture agreements. He has served on the Board of Directors and as outside general counsel for various non-profit corporations, drafted Articles of Incorporation and Bylaws, and successfully obtained tax-exempt status for such entities. He has advised profit and non-profit entities on various corporate governance issues.
Mr. Soli's commercial litigation experience includes representation of owners, developers, general contractors, subcontractors, suppliers and design professionals involving claims for equitable adjustment, Miller Act claims, bid protests, construction defects and breach of contract issues. In addition, Mr. Soli has litigated class action cases, insurance coverage disputes, and environmental matters.
Previously, he clerked for the Honorable Walter E. Webster, Jr. and the Honorable H. Joseph Coleman at the Washington State Court of Appeals, Division One, and appeared in federal district court as a legal intern at the United States Attorney's Office in Seattle. He also interned at the Starbucks Department of Law and Corporate Affairs where he worked with attorneys on commercial leases, international joint venture agreements and advertising law.
